These AI Assistant Terms of Use (“Terms”) govern your access to and use of the Mfr.io AI Assistant (the “AI Assistant”), which may be available on mfr.io and/or embedded on a manufacturer's website or profile. The AI Assistant is provided by Mfr.io, Inc. (“Mfr.io,” “Company,” “we,” “us,” or “our”). By using the AI Assistant, you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the AI Assistant.
These Terms apply solely to your interaction with the AI Assistant and do not govern your general use of the Mfr.io platform or any manufacturer website. To the extent of any conflict, these Terms control with respect to the AI Assistant.
The AI Assistant is an automated chat experience designed to help answer questions about a manufacturer and its products/services. It may generate responses using a combination of information that may include:
The AI Assistant may also help you submit a Request for Information (RFI) or Request for Quote (RFQ) to a manufacturer.
The AI Assistant is provided for informational purposes only. AI outputs may be incorrect, incomplete, outdated, or misleading, and may not reflect the manufacturer's most current capabilities or specifications.
If you submit an RFI/RFQ or otherwise request to be contacted, you authorize us to share the information you provide with the specific manufacturer you are interacting with so that the manufacturer can respond.
Your use of the AI Assistant is subject to our Privacy Policy, which describes how we collect, use, and share information.
You agree to use the AI Assistant lawfully and responsibly. You may not:
We may implement rate limits or other controls, and we may suspend or block access to the AI Assistant to enforce these Terms, protect users, or comply with law.
The AI Assistant and its underlying technology are owned by Mfr.io, Inc. and its licensors and are protected by intellectual property laws.
You retain any rights you may have in the information you submit through the AI Assistant. You grant us a non-exclusive, worldwide, royalty-free license to use, host, process, reproduce, and display your submitted information solely as necessary to operate, maintain, and improve the AI Assistant, facilitate RFIs/RFQs, and provide customer support, consistent with our Privacy Policy.
As between you and us, you may use outputs generated by the AI Assistant for your internal business purposes. We do not guarantee outputs are unique or free of similar content generated for others.
The AI Assistant is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the AI Assistant will be uninterrupted, error-free, or secure, or that responses will be accurate or complete.
To the maximum extent permitted by law, Mfr.io, Inc. will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the AI Assistant.
To the maximum extent permitted by law, our total liability arising out of or relating to the AI Assistant will not exceed US $100 (or, if greater, the amount you paid us for the AI Assistant, if any) in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms or the AI Assistant will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, in English. Judgment on the award may be entered in any court of competent jurisdiction.
Opt-out: You may opt out of this arbitration provision within thirty (30) days of first agreeing to these Terms by emailing support@mfr.io and stating that you wish to opt out of arbitration.
Class action waiver: You agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Notwithstanding the foregoing, either party may seek injunctive relief in any competent court to prevent unauthorized use or disclosure of confidential information or intellectual property.
We may update these Terms from time to time. If we make material changes, we may provide notice by updating this page and revising the “Last updated” date. Your continued use of the AI Assistant after changes become effective constitutes your acceptance of the updated Terms.
