AI Assistant End-User Terms of Use

The AI Assistant is an automated chat experience designed to help answer questions about a manufacturer and its products/services. It may generate responses using a combination of information that may include:

• Manufacturer-provided information (e.g., documents or content)
• Publicly available information
• Information you provide during the conversation

The AI Assistant may also help you submit a Request for Information (RFI) or Request for Quote (RFQ) to a manufacturer.

The AI Assistant is provided for informational purposes only. AI outputs may be incorrect, incomplete, outdated, or misleading, and may not reflect the manufacturer's most current capabilities or specifications.

• No professional advice: The AI Assistant does not provide engineering, legal, financial, safety, medical, or other professional advice.
• Verify critical information: You are responsible for verifying critical details (including specifications, tolerances, lead times, compliance requirements, pricing, safety, and suitability) directly with the manufacturer or other qualified professionals.

If you submit an RFI/RFQ or otherwise request to be contacted, you authorize us to share the information you provide with the specific manufacturer you are interacting with so that the manufacturer can respond.

• No guarantee of outcomes: We do not guarantee that you will receive a response, quote, follow-up, or any particular outcome, or that any opportunity will result in a contract.
• Not a party to transactions: Any dealings, agreements, pricing, production, fulfillment, and disputes are solely between you and the manufacturer. Mfr.io, Inc. is not a broker, agent, or party to any resulting transaction.
• Manufacturer responsibility: The manufacturer is responsible for its products, services, and communications with you. You should review any terms, policies, or disclosures the manufacturer provides.

Your use of the AI Assistant is subject to our Privacy Policy, which describes how we collect, use, and share information.

• Conversation data: We may collect and log the content of your interactions with the AI Assistant (such as your questions and the AI Assistant's responses) to operate the AI Assistant, facilitate RFIs/RFQs, support users, prevent abuse, and improve service quality.
• Sharing with the manufacturer: Your conversation transcript and any information you provide may be shared with the specific manufacturer you are interacting with, including to support follow-up and customer support. We do not share those transcripts with other manufacturers.
• Abuse prevention: We may log IP addresses and related technical information to detect fraud, spam, or abuse and to protect the service.
• Third-party processing: The AI Assistant may be powered by third-party service providers (for example, AI model providers) that process your inputs to generate responses, as described in our Privacy Policy.
• Manufacturer sites: If the AI Assistant appears on a manufacturer's website, that manufacturer may separately collect information under its own privacy policy. We are not responsible for a manufacturer's privacy practices.

You agree to use the AI Assistant lawfully and responsibly. You may not:

• Use the AI Assistant for illegal, harmful, deceptive, or abusive purposes
• Submit or request content that is unlawful, harassing, hateful, or threatening
• Attempt to probe, scan, or test the vulnerability of the service or interfere with its operation
• Reverse engineer, scrape, or systematically extract data from the AI Assistant (except as permitted by applicable law)
• Submit personal data of individuals under the age of 16
• Upload or provide sensitive personal information (e.g., government IDs, health/medical information, or payment card data)

We may implement rate limits or other controls, and we may suspend or block access to the AI Assistant to enforce these Terms, protect users, or comply with law.

The AI Assistant and its underlying technology are owned by Mfr.io, Inc. and its licensors and are protected by intellectual property laws.

You retain any rights you may have in the information you submit through the AI Assistant. You grant us a non-exclusive, worldwide, royalty-free license to use, host, process, reproduce, and display your submitted information solely as necessary to operate, maintain, and improve the AI Assistant, facilitate RFIs/RFQs, and provide customer support, consistent with our Privacy Policy.

As between you and us, you may use outputs generated by the AI Assistant for your internal business purposes. We do not guarantee outputs are unique or free of similar content generated for others.

The AI Assistant is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the AI Assistant will be uninterrupted, error-free, or secure, or that responses will be accurate or complete.

To the maximum extent permitted by law, Mfr.io, Inc. will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the AI Assistant.

To the maximum extent permitted by law, our total liability arising out of or relating to the AI Assistant will not exceed US $100 (or, if greater, the amount you paid us for the AI Assistant, if any) in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms or the AI Assistant will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Opt-out: You may opt out of this arbitration provision within thirty (30) days of first agreeing to these Terms by emailing support@mfr.io and stating that you wish to opt out of arbitration.

Class action waiver: You agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive relief in any competent court to prevent unauthorized use or disclosure of confidential information or intellectual property.

We may update these Terms from time to time. If we make material changes, we may provide notice by updating this page and revising the “Last updated” date. Your continued use of the AI Assistant after changes become effective constitutes your acceptance of the updated Terms.
