By accessing the Mfr.io, Inc. website or utilizing any of our services—including, but not limited to, creating an account, submitting a “Request Early Access” form, or using our AI Assistant—you confirm that you have reviewed, comprehend, and consent to be bound by these Terms of Use. In certain instances, you may be required to indicate your acceptance explicitly (for example, by clicking “I Agree” or checking a box). These Terms incorporate our Privacy Policy, which explains how we handle personal data and use cookies.

If you do not agree to these Terms of Use, you must discontinue accessing or using our website and any related services. By continuing to browse, interact, or otherwise engage with our site after any updates to these Terms, you affirm your acceptance of those changes.

Mfr.io, Inc. primarily operates in the United States and Canada and does not specifically target or market our services to individuals in the European Union (“EU”) or European Economic Area (“EEA”). If you access or use our services from outside the United States or Canada, you do so at your own initiative, and you are responsible for complying with any local laws or regulations that may apply.

If you are an EU/EEA resident and you choose to use our services, you acknowledge that we do not offer a GDPR-specific cookie consent banner or mechanism. You further agree that your continued use signifies your acceptance of our data practices, as outlined in our Privacy Policy.

By submitting any form on our site, including a “Request Demo” form or an RFI/RFQ through our AI Assistant, you grant Mfr.io, Inc. permission to send you email communications related to your request or account activity. These may include:

  • Transactional Emails: Messages necessary to fulfill or follow up on your request (e.g., RFI/RFQ confirmations, status updates).
  • Service & Marketing Communications: Emails about product updates, new features, or other relevant information.

We respect your right to privacy and provide the means to cease receiving marketing emails at your discretion, as outlined in our Privacy Policy. However, opting out of marketing emails will not stop us from sending essential transactional or service-related communications needed to process or follow up on your requests. Should you wish to unsubscribe from promotional messages, you may do so via the link provided in those emails or by contacting support@mfr.io. Every commercial email will include our physical mailing address and an unsubscribe mechanism, in compliance with applicable laws.

We expect all users of Mfr.io, Inc. to engage with our website in a manner that is lawful, ethical, and respectful of intellectual property rights. Prohibited conduct includes, but is not limited to, any form of illegal activity, the violation of others’ intellectual property, the dissemination of malicious software, or participation in fraudulent activities. Our AI Assistant is a product provided by Mfr.io, Inc. and may appear on our own website or be embedded on manufacturer websites under our branding. It provides quick responses based on publicly available information and/or manufacturer-supplied data. Please note the following:

  • Informational Purposes Only: The AI Assistant is offered “as is” and does not constitute professional advice (e.g., engineering, legal, financial). Always verify critical information directly with the manufacturer or relevant experts.
  • Accuracy & Completeness: While we strive for accuracy, Mfr.io, Inc. cannot guarantee the completeness or reliability of AI-generated responses. Users assume all risk in relying on such information.
  • Data Handling: We may log IP addresses to prevent abuse of the AI Assistant. If you submit a Request for Information (RFI) or Request for Quote (RFQ), you consent to Mfr.io, Inc. sharing that information solely with the manufacturer you select. For details on how we handle data, please refer to our Privacy Policy.
  • Limitation of Liability: Mfr.io, Inc. disclaims all liability for any actions taken (or not taken) in reliance on AI-generated content.

All original material on the Mfr.io, Inc. website, which includes text, graphics, logos, icons, and software, is the sole property of Mfr.io, Inc. or its content providers and is safeguarded by intellectual property laws. This content is made available for your personal, non-commercial use. You are not permitted to copy, reproduce, distribute, or create derivative works without the express written permission from Mfr.io, Inc. Any unauthorized use may violate copyright, trademark, and other laws.

Submission of Copyright Infringement Claims: If you believe any content on our platform infringes your copyright, please send a written notice to our designated Copyright Agent at support@mfr.io with all of the following information:

  • Your contact information (name, mailing address, email);
  • A description of the copyrighted work you believe is infringed;
  • The specific URL or location on our platform where the allegedly infringing material is found;
  • A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
  • Your physical or electronic signature.

Counter-Notice by Accused Party: If you believe that your content was removed or disabled by mistake or misidentification, you may file a counter-notice by emailing our Copyright Agent with:

  • Your contact information (name, mailing address, email);
  • Identification of the material that has been removed or to which access has been disabled, and the location where it appeared before it was removed or disabled;
  • A statement under penalty of perjury that you have a good-faith belief that the content was removed or disabled as a result of mistake or misidentification; and
  • A statement that you consent to the jurisdiction of the federal court in your district (or in any judicial district where Mfr.io may be found if you reside outside the U.S.), and that you will accept service of process from the person who provided the original DMCA notice or an agent of that person.

Policy on Repeat Infringers: In accordance with the DMCA and other applicable laws, we will terminate the accounts of repeat infringers when appropriate.

Mfr.io, Inc. offers its website and its content on an “as is” basis and does not make any representations or warranties, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability with respect to the website or the information contained on the website for any purpose. To the fullest extent permissible pursuant to applicable law, Mfr.io, Inc. disclaims all warranties.

Nothing herein limits or excludes liability for fraud, willful misconduct, or any other liability that cannot be excluded by law. Mfr.io, Inc. will not be liable for any damages of any kind arising from the use of this website or from any information, products, or services obtained on this website, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

Mfr.io, Inc. maintains the right to terminate or restrict access to the website or any service provided on the website to any user at its sole discretion, without notice, for any reason, including but not limited to the violation of these Terms of Use. Upon termination, your right to use the website will immediately cease.

These Terms of Use and your use of the Mfr.io, Inc. website are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms of Use, including any question regarding its existence, validity, or termination, shall be resolved by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. You may opt out of this arbitration provision within thirty (30) days of first agreeing to these Terms by sending an email to support@mfr.io, explicitly stating your request to opt out.

You agree to waive any right to participate in a class or representative action, and that each party may bring claims against the other only in an individual capacity.

We reserve the right to modify or replace these Terms of Use at any time in our sole discretion. Where the changes are material, we will provide you with notice as appropriate under the circumstances, such as by displaying a prominent notice within the Mfr.io, Inc. website or by sending you an email. Your continued use of the website following the posting of any changes to these Terms of Use constitutes your acceptance of those changes.
