AI Assistant Terms of Service

These AI Assistant Terms of Service (“Terms”) govern your purchase and use of the AI Assistant service (the “Service”) offered by Mfr.io, Inc. (“Company,” “we,” “us,” or “our”). By purchasing, accessing, or using the Service, you (“Customer,” “you,” “your”) agree to be bound by these Terms and our Platform Terms of Use and Privacy Policy.

Our AI Assistant is an automated chat widget that answers questions from your website visitors using information you provide (documents, product details, etc.) and publicly available data.

We handle onboarding and initial configuration, and we provide ongoing monthly support (including a scheduled monthly check‑in call and reasonable small content updates). You can embed the AI Assistant directly into your website. If we make material changes to the Service that affect functionality or availability, we’ll provide notice as reasonably practicable.

The Service may include features such as an AI knowledge base, product catalog, tools/calculators, buyer analytics/insights, and RFQ workflows, depending on your subscription plan or Order Form.

  • Subscription Fees. The AI Assistant is sold as a recurring subscription. Pricing starts at US $399 per month, billed annually in advance (i.e., you pay for a 12‑month subscription term up‑front), unless otherwise stated in an Order Form, invoice, or checkout page.
  • Billing and Renewal. Subscription fees are charged at the start of each subscription term. Unless you cancel before the end of the then‑current term, your subscription will automatically renew for an additional term and you authorize us to charge your payment method for the renewal fees.
  • No Refunds. Fees are non‑refundable except where required by law or expressly stated in an Order Form.
  • Payment Method. Fees are billed and collected via Stripe® or another processor we designate. You authorize us to charge your chosen payment method when fees are due.
  • Failed Payments. If a payment is declined or cannot be processed, we may retry the charge and suspend or terminate access to the Service until all amounts due are paid.
  • Taxes. Fees do not include applicable taxes or duties, which remain your responsibility.
  • Legacy / Grandfathered Customers. If you subscribed to the Service under a prior written agreement, order, or pricing structure, those commercial terms (including pricing and billing cadence) will continue to apply to you unless and until changed by written agreement.
  • By You. You may cancel renewal at any time by emailing support@mfr.io. The Service will remain active until the end of the then‑current subscription term. We do not provide prorated refunds for unused time in a prepaid term.
  • By Us. We may suspend or terminate the Service immediately if (a) you breach these Terms or applicable law; (b) your use poses a security, legal, or reputational risk to us or others; (c) you exceed fair‑usage limits that we reasonably establish; or (d) required by law.
  • Effect of Termination. Upon termination we will disable the AI Assistant. Upon written request made within 30 days after termination, we will delete or return Customer-provided materials that you submitted for the Service (such as uploaded documents and knowledge base content), unless retention is required or permitted under our Privacy Policy or applicable law. This does not include information retained in routine backups, logs, analytics records, invoices/payment records, or as otherwise required for legal, tax, security, or compliance purposes. We may also retain aggregated or de-identified usage data.

You agree not to use the AI Assistant to share harmful, misleading, or illegal content; submit personal data of individuals under 16; reverse-engineer or disrupt the AI Assistant’s underlying technology; or otherwise violate applicable laws. To protect the integrity of the Service, we may monitor and log usage as reasonably necessary to operate the Service, provide the Service features (including analytics), enforce this policy, and comply with applicable law, as described in our Privacy Policy.

You also agree not to upload or provide sensitive personal information (e.g., government IDs, health data, or payment card data) to the Service. We may implement rate limits or other restrictions to enforce reasonable use and prevent abuse.

  • We aim for 99.5% monthly uptime, excluding planned maintenance, but this isn't guaranteed.
  • We typically reply to support requests within 48 hours on business days. You can reach us at support@mfr.io.

The AI Assistant and its underlying technology are owned exclusively by Mfr.io, Inc. and its licensors.

Your Data. You retain full ownership of the data, content, and materials you provide or make available in connection with the Service, including documents, product information, and other inputs (“Your Data”).

License to Use Your Data. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, and display Your Data solely as reasonably necessary to provide, maintain, secure, and support the Service, including: onboarding and configuration; generating AI responses; facilitating RFQ/RFI workflows; providing analytics and reporting; preventing fraud, spam, and abuse; troubleshooting and debugging; enforcing these Terms; and improving Service quality through testing and evaluation, in each case consistent with our Privacy Policy.

Third-Party Processing. You acknowledge that the Service may use third-party service providers (for example, AI model providers) to process inputs and generate outputs, as described in our Privacy Policy.

Outputs. As between you and us, you may use outputs generated by the Service for your business purposes. We do not guarantee outputs are unique or free of similar content generated for others.

  • Informational Use. The Service is provided “as is.” It does not constitute professional advice. You are solely responsible for verifying critical information.
  • No Warranties. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.
  • Liability Cap. To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service will not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages.

These Terms are governed by and construed under the laws of the State of Delaware, USA, without regard to its conflict‑of‑law principles.

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, in English. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives the right to a jury trial. Notwithstanding the foregoing, either party may seek injunctive relief in any competent court to prevent unauthorized use or disclosure of confidential information or intellectual property.

  • Survival. The sections on Acceptable Use, Payment, Liability, and Dispute Resolution remain effective even after cancellation or termination.
  • Complete Agreement. These Terms, together with any Order Form (or invoice/checkout terms), our Platform Terms and Privacy Policy, represent our full agreement about the Service.
  • Conflicts. If these Terms conflict with an Order Form, the Order Form controls for pricing, billing, and plan scope. If these Terms conflict with our Platform Terms or Privacy Policy, these Terms apply for the Service.

We may update these Terms from time to time. If we make material changes, we’ll provide notice by posting an updated version at mfr.io or by other reasonable means. Material changes will apply upon your next renewal or as otherwise permitted by law. Your continued use of the Service after the effective date of any changes constitutes your acceptance.
