These AI Assistant Terms of Service (“Terms”) govern your purchase and use of the AI Assistant service (the “Service”) offered by Mfr.io, Inc. (“Company,” “we,” “us,” or “our”). By purchasing, accessing, or using the Service, you (“Customer,” “you,” “your”) agree to be bound by these Terms and our Platform Terms of Use and Privacy Policy.
Our AI Assistant is an automated chat widget that answers questions from your website visitors using information you provide (documents, product details, etc.) and publicly available data.
We handle onboarding and initial configuration, and we provide ongoing monthly support (including a scheduled monthly check‑in call and reasonable small content updates). You can embed the AI Assistant directly into your website. If we make material changes to the Service that affect functionality or availability, we’ll provide notice as reasonably practicable.
The Service may include features such as an AI knowledge base, product catalog, tools/calculators, buyer analytics/insights, and RFQ workflows, depending on your subscription plan or Order Form.
You agree not to use the AI Assistant to share harmful, misleading, or illegal content; submit personal data of individuals under 16; reverse-engineer or disrupt the AI Assistant’s underlying technology; or otherwise violate applicable laws. To protect the integrity of the Service, we may monitor and log usage as reasonably necessary to operate the Service, provide the Service features (including analytics), enforce this policy, and comply with applicable law, as described in our Privacy Policy.
You also agree not to upload or provide sensitive personal information (e.g., government IDs, health data, or payment card data) to the Service. We may implement rate limits or other restrictions to enforce reasonable use and prevent abuse.
The AI Assistant and its underlying technology are owned exclusively by Mfr.io, Inc. and its licensors.
Your Data. You retain full ownership of the data, content, and materials you provide or make available in connection with the Service, including documents, product information, and other inputs (“Your Data”).
License to Use Your Data. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, and display Your Data solely as reasonably necessary to provide, maintain, secure, and support the Service, including: onboarding and configuration; generating AI responses; facilitating RFQ/RFI workflows; providing analytics and reporting; preventing fraud, spam, and abuse; troubleshooting and debugging; enforcing these Terms; and improving Service quality through testing and evaluation, in each case consistent with our Privacy Policy.
Third-Party Processing. You acknowledge that the Service may use third-party service providers (for example, AI model providers) to process inputs and generate outputs, as described in our Privacy Policy.
Outputs. As between you and us, you may use outputs generated by the Service for your business purposes. We do not guarantee outputs are unique or free of similar content generated for others.
These Terms are governed by and construed under the laws of the State of Delaware, USA, without regard to its conflict‑of‑law principles.
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, in English. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives the right to a jury trial. Notwithstanding the foregoing, either party may seek injunctive relief in any competent court to prevent unauthorized use or disclosure of confidential information or intellectual property.
We may update these Terms from time to time. If we make material changes, we’ll provide notice by posting an updated version at mfr.io or by other reasonable means. Material changes will apply upon your next renewal or as otherwise permitted by law. Your continued use of the Service after the effective date of any changes constitutes your acceptance.
